Trade & Wholesale Terms

These Trade & Wholesale Terms (“Terms”) apply to all approved business customers of PLANORA AB (“Planora”, “we”, “us”, “our”) purchasing through b2b.planorashop.com (the “Site”) or via direct business agreement.

By registering for a business account and/or placing an order, you agree to these Terms in addition to our Terms of Service and Privacy Policy.

2. Eligibility & Account Approval

Business accounts are intended for organisations such as:

  • Retail stores and concept shops

  • Architecture and interior design studios

  • Educational institutions

  • Professional organisations and corporate buyers

  • Approved distributors

We may request additional information to verify your business (e.g., company registration, VAT number, website, store address).

Planora reserves the right to approve, decline, suspend or terminate any business account at its discretion.

3. Account Types

3.1 Retail Partners (Resale)

Retail Partners purchase Planora products for resale to end customers.

Unless otherwise agreed in writing by Planora:

  • Retail Partners must operate a physical retail presence.

  • Online sales are not permitted, including sales via your own website or any third-party platform.

  • Sale via third-party marketplaces (including but not limited to Amazon, eBay, Etsy) is strictly prohibited.

  • Dropshipping is not permitted.

  • Products may not be relabelled, repackaged, bundled with non-Planora items in a way that alters the product identity, or otherwise modified.

If you wish to sell Planora products online, you must request written approval from Planora in advance.

3.2 Trade & Professional Accounts (Internal Use)

Trade accounts (e.g., architects, designers, studios, educational institutions) purchase products for internal use, teaching, workshops, client presentations or project development.

Trade accounts are not authorised to resell Planora products unless separately approved as Retail Partners.

3.3 Bulk & Institutional Orders

Bulk purchases for internal distribution, programmes or corporate use may be subject to custom pricing, lead times and fulfilment arrangements.

Any resale rights must be explicitly granted in writing by Planora.

4. Pricing, Currency, Taxes

  • Prices shown on the Site are business prices and are displayed excluding VAT unless otherwise stated.

  • Taxes (including VAT, GST, sales tax) are applied according to the applicable rules for the destination and buyer status.

  • Eligible VAT-registered businesses within the EU may qualify for reverse-charge treatment where legally applicable.

  • Any import duties, customs fees or local taxes charged upon import (where applicable) are the buyer’s responsibility unless otherwise agreed in writing.

Planora may update pricing at any time. Confirmed orders are not affected.

5. Ordering & Minimums

  • Minimum order values, product minimums and eligibility conditions may apply and will be shown on the Site or communicated in writing.

  • All orders are subject to availability and acceptance by Planora.

  • We reserve the right to limit quantities, refuse orders, or cancel orders in cases including pricing errors, suspected misuse, or breach of these Terms.

6. Payment

Payment terms are as stated at checkout or agreed in writing.

Planora reserves the right to suspend accounts, hold shipments, or require prepayment if payment issues arise.

7. Shipping, Delivery & Claims

  • Shipping costs and estimated delivery times are provided at checkout or via quotation.

  • Delivery dates are estimates and not guaranteed.

  • Risk transfers to the buyer upon delivery to the provided delivery address (or as otherwise required by applicable law).

Claims: Any damage, shortage, or incorrect goods must be reported in writing within five (5) working days of delivery, including photos and relevant order details. Failure to report within this period may affect our ability to assist.

8. Returns & Defects

Business purchases are not subject to consumer return rights.

Returns are accepted only in cases of:

  • Manufacturing defects; or

  • Incorrect shipment by Planora.

Returns require written approval from Planora prior to sending goods back. Returned goods must be unused and in original condition and packaging unless the defect makes this impossible.

9. Brand Presentation & Marketing

Planora products must be presented in a way that reflects Planora’s brand positioning.

Retail Partners agree to:

  • Sell products in original Planora packaging and presentation format

  • Use official product imagery and descriptions where provided

  • Avoid misleading product claims

  • Maintain a retail environment consistent with the brand

Discounting, campaign pricing, or promotional bundles that may impact brand positioning should be agreed with Planora in advance.

10. Online Sales & Marketplace Policy

Unless expressly authorised in writing by Planora:

  • Online resale is not permitted (including via your own webshop).

  • Sale via third-party marketplaces (including but not limited to Amazon, eBay, Etsy) is prohibited.

  • Sale via online-only platforms is prohibited.

  • Dropshipping is prohibited.

Planora reserves the right to suspend or terminate accounts in cases of unauthorised online resale.

11. Intellectual Property & Product Integrity

All Planora products, designs, systems, files, templates, documentation and brand assets remain the intellectual property of Planora.

Products may not be:

  • copied, reproduced, reverse-engineered or used for manufacturing

  • altered or modified in a way that changes product identity

  • sold as private label or under other branding

12. Suspension & Termination

Planora may suspend or terminate a business account, with immediate effect, in cases including but not limited to:

  • breach of these Terms

  • unauthorised resale (including online resale)

  • brand misuse or misrepresentation

  • non-payment or repeated payment issues

  • suspected fraud or misuse

Termination does not affect outstanding payment obligations.

13. Governing Law

These Terms are governed by the laws of Sweden.

If you purchase from outside Sweden, mandatory provisions of local law may apply to the extent they cannot be excluded by agreement.

Any dispute arising out of or in connection with these Terms shall be resolved by the Swedish courts, unless mandatory law provides otherwise.

14. Changes to These Terms

Planora may update these Terms from time to time. The latest version will always be available on the Site. Continued use of the business account constitutes acceptance of updated Terms.
